These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of the state of New York, without regard to conflicts of laws provisions. You and Natixis consent to exclusive personal jurisdiction of and venue in the state and federal courts within New York County, New York. YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE UNDER ANY APPLICABLE LAW TO A JURY TRIAL. No action, regardless of form, arising out of or pertaining to any of the Services may be brought by you more than one (1) year after the cause of action has accrued.
If any term or provision of these Terms and Conditions shall be held to be unenforceable, all remaining terms and provisions shall not be impaired and the unenforceable term or provision shall be replaced by such enforceable term or provision as comes closest to the intention underlying such unenforceable term or provision.

The Firm intends to continue business operations and has implemented, and periodically tests, measures, and adjusts its continuity plans reasonably designed to enable the Firm to meeting its existing obligations to its customers under a variety of possible emergency scenarios.
In the event of a business interruption affecting Natixis Corporate & Investment Banking Americas only, the Firm intends to continue business operations at an alternate site the same day as the disruption. The Firm has dedicated facilities at an alternate site to enable key employees and management to continue to conduct business operations and meet its obligations to customers. If a disruption affects the general geographical business district or New York City where Natixis Corporate & Investment Banking Americas is located, the Firm intends to continue operations at the alternate site the same day as the disruption; provided transportation is available to enable key employees and officers to travel to the alternate site. If transportation is not immediately available, the Firm intends to resume business operations by the next business day. In the event of a general regional disruption, the Firm intends to resume business activities at the alternate site if transportation is available the same day as the disruption or by the next business day remotely. Please note that the Firm's ability to continue to conduct business and meet its obligations to customers will be reevaluated by the Crisis Management Team on a daily basis for the duration of the disruption.
